Terms of Service — AssessAI

These Terms of Service (“Terms”) govern your access to and use of AssessAI (the “Service”), operated by AssessAI (“we,” “our,” or “us”). By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using AssessAI, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction), that you have the authority to enter into these Terms on behalf of yourself or your organization, and that you will comply with these Terms and all applicable laws.

If you are using AssessAI on behalf of a company or organization, “you” refers to that entity, and you represent that you have authority to bind the entity to these Terms.

2. Account Registration and Responsibility

You must register for an account to use most features of AssessAI. You agree to:

Provide accurate and complete registration information
Keep your account credentials confidential and not share them with others
Notify us immediately at [email protected] if you suspect unauthorized access to your account
Be responsible for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that we believe have been compromised or used in violation of these Terms.

3. Acceptable Use

You may use AssessAI only for lawful purposes. You agree not to:

Use the Service to discriminate against candidates based on protected characteristics (race, gender, age, disability, religion, national origin, or any other class protected by applicable law)
Impersonate candidates or send assessments under false pretenses
Attempt to reverse-engineer, scrape, or extract proprietary data from the platform
Use automated means to access the Service beyond normal use (e.g., bots, crawlers, or scripts that abuse rate limits)
Upload content that is unlawful, defamatory, obscene, or that infringes the intellectual property rights of others
Attempt to gain unauthorized access to other users' accounts or any backend system
Interfere with the security, integrity, or availability of the Service

We may investigate suspected violations and take action including account suspension, termination, and referral to law enforcement.

4. Intellectual Property

Your Content

You retain ownership of all content you create or upload on AssessAI, including job descriptions, custom assessment questions, and any other materials you provide (“Your Content”). By uploading content, you grant us a limited, non-exclusive, royalty-free license to use, store, and process Your Content solely to operate and improve the Service. We will never sell Your Content or use it to train AI models without your explicit consent.

Candidate responses submitted through assessments you create are considered Your Content for the purposes of these Terms.

Our Platform

AssessAI, including the software, question bank, scoring algorithms, UI, documentation, and all associated intellectual property, is owned by us and protected by copyright, trade secret, and other applicable laws. You may not copy, modify, distribute, or create derivative works from any part of the platform without our prior written consent.

Feedback

If you submit suggestions, bug reports, or feature requests, you grant us a perpetual, irrevocable, royalty-free license to use that feedback to improve the Service. We are not obligated to implement any feedback.

5. Payment and Billing

Plans and Pricing

AssessAI offers a free tier and paid plans. Paid plans are billed on a monthly or annual basis as selected at time of purchase. Current pricing is available at getassessai.com/pricing and may change with 30 days' notice.

Billing

Payments are processed by Razorpay. By providing payment information, you authorize us (through Razorpay) to charge your payment method on a recurring basis for the selected plan. You are responsible for ensuring your payment details remain current.

Refunds

Monthly subscriptions are non-refundable once billed. Annual subscriptions may be refunded on a pro-rated basis within 14 days of initial purchase if you have not used more than 3 assessments. To request a refund, email [email protected] with your account details.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date.

6. Service Availability

We operate on a best-effort basis. We do not guarantee any specific uptime or availability, and we provide no Service Level Agreement (SLA) on free or Pro plans. We will make reasonable efforts to provide advance notice of planned maintenance.

We may modify, suspend, or discontinue any part of the Service at any time. If we discontinue the Service entirely, we will provide at least 30 days' notice and pro-rate any unused paid subscription time.

7. Termination

You may delete your account at any time. We may suspend or terminate your account at our discretion if we believe you have violated these Terms, with or without prior notice.

Upon termination, your right to use the Service ends immediately. We will delete your data in accordance with our Privacy Policy. Provisions that by their nature should survive termination (including intellectual property, liability limitations, and dispute resolution) will continue to apply.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

AI-generated scores and evaluations are provided as assistance tools and should not be the sole basis for hiring decisions. You are responsible for all employment decisions and for ensuring your use of assessments complies with applicable employment law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSESSAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD IF YOU HAVE NOT MADE ANY PAYMENTS.

10. Indemnification

You agree to indemnify, defend, and hold harmless AssessAI and its officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes arising under these Terms will be resolved through binding arbitration under the JAMS Streamlined Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property or confidentiality violations.

12. Modifications to Terms

We may update these Terms at any time. For material changes, we will provide at least 14 days' notice by email or a prominent notice in the product. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service before the effective date.

13. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AssessAI with respect to the Service. If any provision is found unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right or provision is not a waiver of that right. You may not assign your rights under these Terms without our written consent.
